RULES OF THE DEVONPORT YACHT CLUB INCORPORATED
To Replace All Existing Rules With Effect From 1 January 2004

1.
TITLES AND OBJECTS
1.1
Title: The Title of the Club is The Devonport Yacht Club Incorporated.
1.2
Objects: The objects of the Club are the encouragement of yachting generally and
such other purposes connected with aquatics and the welfare and development of
the Club as the members may from time to time deem necessary or expedient.
1.3
Members: The Club will consist of Ordinary, Junior, Family, Associate, Honorary,
and Life members of whom only the Ordinary, Family, and Junior members who have
paid their current subscription fees in full, and the Life members are entitled
to vote.
1.4
Office: The registered office of the Club is the Clubhouse, King Edward Parade,
Devonport.

2. OFFICERS
AND COMMITTEES
2.1
Offices: The Officers of the Club consist of a Patron, Vice-Patron, President,
Vice-Presidents, Commodore, Vice-Commodore, Rear-Commodore, Treasurer, Assistant
Treasurer, Secretary, Sailing Master, Works-Master, Haulage Master, Bar Manager,
Clubhouse Captain, Publicity Officer, Honorary Solicitor, and Honorary Auditor.
The Commodore, Vice-Commodore, and Rear-Commodore will also constitute each of
the Flag Offices of the Club.
2.2
General Committee: There will be a General Committee (the "General
Committee") consisting of the President, Flag Officers, Treasurer, Sailing
Master, Works-Master, Haulage Master, Bar Manager, Clubhouse Captain, Publicity
Officer, and three other members. No more than four members of the General
Committee may be other than Ordinary, Family, or Life members of the Club.
2.3
Election of Offices: All Officers except the Secretary must be elected annually
at the Annual General Meeting. Only Ordinary, Family, Junior, or Life members
who are over 18 years of age may be elected as Officers. If any office becomes
vacant, the General Committee may elect a member to fill the vacancy until the
following Annual General Meeting. All such elections must be by ballot. Any
office-bearer ceasing to be a member of the Club must also cease to be an
office-bearer.
2.4
Nominations for Office: Nominations of candidates for the Flag Officers must be
made in writing, expressing consent to serve if elected, to the Secretary at
least 14 days before the Annual General Meeting. No persons other than members
who have previously served on the General Committee for one year will be
eligible for Flag Office, provided however, that if insufficient candidates
qualifying as above are nominated, any Ordinary, Family, or Life member may be
nominated for Flag Office at the Annual General Meeting. Nominations for all
other officers must be received prior to, or at the Annual General Meeting. The
Officers of the retiring General Committee are eligible for election at the
Annual General Meeting to the respective offices from which they are retiring.
All nominees for office-bearers must have paid their current subscription fees
in full.
2.5
Ballot: When a ballot is not expressly provided for by these Rules, all
questions must be decided by a show of hands, provided always that three members
can demand a ballot.
2.6
Recount: Any candidate wishing to have a recount of any election can do so by
giving notice in writing to the Secretary within forty eight hours after the
election. The voting papers must be kept confidential and sealed by the
Secretary for such purpose, after which they must be destroyed.
2.7
Sub-committees: The Sailing Master, the Works Master, the Haulage Master, the
Clubhouse Captain, and the Publicity Officer:
(a) must, as soon as practical after the Annual General
Meeting, select members of the Club to form their sub-committees and, if
applicable, their ad-hoc sub-committees, such selection is subject to approval
by the General Committee;
(b) must co-opt further members of the Club to their
sub-committees and ad-hoc sub-committees if they deem it necessary; and
(c) will each be deemed the chairperson of their respective
sub-committees and ad-hoc sub-committees.
2.8
Ex-officio Members: The Commodore, the Vice-Commodore, and the Rear-Commodore as
the Flag Officers of the Club are deemed ex-officio members of each
sub-committee and ad-hoc sub-committee and may attend, take part, and vote at
any meeting of those committees.

3. MANAGEMENT
3.1
Vested in the General Committee: The management and control of the affairs of
the Club is vested in the General Committee who may exercise all powers and do
all acts and things which may be exercised or done by the Club and which are not
expressly directed or required to be exercised or done by the Club at an Annual
General or Special General Meeting.
3.2
General Committee Powers: The General Committee may, without prejudice to its
general powers:
(a) purchase or acquire for the Club, or invest the Club's
funds in, any real or personal property or any interest in such property
(including, but not limited to, leases or easements in real property) for such
price and on such terms and conditions as it thinks fit;
(b) raise and borrow money for the Club either without
security or by granting and executing mortgages over or debentures charging any
real or personal property currently owned or acquired by the Club on such terms
and conditions as it thinks fit;
(c) enter into any negotiations, contracts, and agreements on
behalf of the Club as it considers beneficial to the purposes of the Club;
(d) provide a common seal for the Club and make regulations
for its safe custody and use;
(e) make and execute all instruments and assurances as may be
necessary provided that the seal of the Club must not be affixed to any
instrument except:
(i) pursuant to a resolution of the General Committee of the Club; and
(ii) in the presence of two members of the General Committee
for the time being or one member of the General Committee and the Secretary for
the time being. The Common Seal will be in the custody of the Secretary of the
Club;
(f) appoint, pay, control, and dismiss as necessary the
Secretary and a Custodian and such other servants as the General Committee may
decide necessary;
(g) pay an honorarium to the Treasurer as the General
Committee may decide appropriate;
(h) engage such assistance as may be necessary from
professions, trades, and other persons;
(i) dismiss from a sub-committee or ad-hoc sub-committee
any member, whose performance on such committee is considered by the General
Committee, after reasonable inquiry, to be inadequate or injurious to the Club,
in accordance with the following process:
(i) a special
meeting of the General Committee must be called to investigate further into the
matter;
(ii) the member
whose performance is in question must be required in writing to attend such
meeting;
(iii) such member,
if he or she attends, must be properly informed of all the details of the
charges relating to his or her performance; and
(iv) the General
Committee may exercise its power of dismissal upon hearing the member's
explanation or defence to the charge(s) and any evidence he or she may choose to
call, or if such member fails to attend such meeting then in his or her absence;
(j) control the use by members of the Clubhouse and
facilities pursuant to the Rules of the Club;
(k) control, invest, and manage the funds and property of the
Club subject to any special directions of the Club at the Annual General
Meeting, and incur such liabilities as may be necessary in connection with the
funds and property of the Club; and
(l) exercise all other powers necessary to give effect
to the objects of the Club.

4. DUTIES
4.1 President: The President:
(a) must preside at
all Annual General Meetings and Special General Meetings of the Club and in his
or her absence the Commodore must preside; and
(b) may preside at
all General Committee meetings of the Club or may delegate this responsibility
to the Commodore.
4.2
Commodore: The Commodore has command of the Club and
notwithstanding Rule 3.2(f) must employ, control, and dismiss any employees of
the Club as he or she deems necessary.
4.3
Vice-Commodore: The Vice-Commodore must assist the
Commodore in the discharge of his or her duties and must, in his or her absence,
officiate in his or her place.
4.4
Rear-Commodore: The Rear-Commodore must assist both the
Commodore and the Vice-Commodore in the discharge of their duties and in their
absence, officiate in their place.
4.5
Substitute: If the President or Flag Officers are not
present at any meeting, the members must elect by majority vote one of the
members present to take the chair at that meeting of the Club.
4.6
Appointment of Secretary: The General Committee must, at
its first meeting following the Annual General Meeting, appoint a Secretary. The
General Committee may, in its discretion, pay the Secretary for services
rendered as may be decided upon from time to time.
4.7
Secretary's Duties: The Secretary must:
(a) keep a true
record of the proceedings of all meetings of the Club in a book provided for the
purpose;
(b) keep a correct
roll of all members of the Club, their occupations, the dates on which they
became members, and their registered addresses;
(c) notify the
Treasurer immediately after the Annual General Meeting of the members of the
Club then liable for the annual subscription fees and also during the year
notify him or her of the election of new members to the Club;
(d) keep a correct
list of the name, ownership, dimensions rating, number, and rig of each boat
enrolled in the Club Register and must provide such information to the Sailing
Master and the Haulage Master;
(e) file all
documents, records, reports, and communications connected with the Club and
bring them before such meetings as may properly deal with them;
(f) notify each new
member of the Club of his or her election and furnish him or her with a copy of
the Club Rules and Regulations at his or her request;
(g) conduct the
correspondence of the Club;
(h) notify those
members of the Club entitled to attend any meeting except standing meetings; and
(i) in case of
inability to attend any meeting, cause the necessary books and papers to be
conveyed to the place of meeting.
4.8 Treasurer's Duties: The Treasurer must:
(a) receive all
moneys due to the Club and pay all bills contracted by it when passed for
payment by the General Committee, keeping a correct account of the same in books
provided for that purpose;
(b) produce at each
meeting a statement of accounts and, prior to the Annual General Meeting, an
audited Balance Sheet of the receipt and disbursements of the past year and
report generally upon the finances of the Club;
(c) have custody of
the funds of the Club and keep account of the same in such manner as will at any
time clearly show the true financial position of the Club;
(d) pay all moneys
collected by him or her as soon as practicable and without deduction to the bank
account of the Club;
(e) not make any
payment exceeding an amount to be determined by the General Committee from time
to time except by order of the Committee. In addition, withdrawal slips or
cheques must be signed by any two Officers of the Club appointed by the General
Committee from time to time for that purpose; and
(f) arrange for the
Club's books to be audited by an independent auditor approved by the General
Committee in July of each year: The General Committee is empowered to arrange an
audit at any time.
4.9
Assistant Treasurer's Duties: The Assistant Treasurer must
assist the Treasurer in the discharge of his or her duties and must attend the
General Committee meetings as required.

5. SUB-COMMITTEES
5.1 Selection of Members For Sub-Committees: The selection of members for each
sub-committee must be in accordance with the following process:
(a) the chairperson
of each sub-committee must lodge a list of members, chosen according to Rule
2.7, of that sub-committee and of any ad-hoc sub-committee with the Secretary
within 14 days from the Annual General Meeting for the record;
(b) within 10 days
after the next meeting of the General Committee, the Secretary will notify the
chairpersons of each sub-committee in writing of the General Committee's
approval or disapproval of any member or members listed by the respective
Chairmen;
(c) those members
approved by the General Committee will be deemed to be duly appointed
sub-committee or ad-hoc sub-committee members for the year by being recorded in
the minutes of the General Committee; and
(d) those members
not approved by the General Committee must not form part of that sub-committee
or ad-hoc sub-committee and the relevant chairperson must select further members
in accordance with Rule 2.7 and this Rule 5.1.
This Rule applies also to co-opted members.
5.2
Number of Members in Each Sub-Committee: Each
sub-committee must have no fewer than 3 members. The chairperson of each
sub-committee may, at any time, co-opt additional members to that sub-committee.
5.3
Sub-Committee Responsibilities: The sub-committees have
the following responsibilities:
(a) The
sub-committee chaired by the Sailing Master is responsible for the organisation
of sailing, racing, and the radio communications activities for the year. In
addition the sub-committee is responsible for:
(i) holding a
current list of the name, ownership, dimensions, rating, number, and rig of each
boat enrolled in the Club Register;
(ii) compiling and
keeping a complete record of all racing and other yachting related fixtures held
by the Club;
(iii) collecting
or arranging for the collection of all entry fees payable by boats entered in
the Club fixtures and the accounting for the same to the Treasurer;
(iv) the
management and handicapping of all races provided that no member may handicap
any boat that person is directly interested in; and
(v) the
maintenance of the Club's trophies and trophy register.
(b) The
sub-committee chaired by the Haulage Master is responsible for the management of
all haulage of boats throughout the year and must:
(i) hold a current
list of the name, ownership, dimensions, rating, number, and rig of each boat
enrolled in the Club Register;
(ii) make prompt
recommendations to the General Committee in respect of any gear or equipment
used in haulage which the sub-committee considers is desirable from time to
time;
(iii) in
accordance with Rule 5.5, the development and maintenance of the by-laws
governing the use of the haulage facilities in the form of a haulage manual (an
up to date copy of which must be displayed in the Clubhouse at all times); and
(iv) account to
the Treasurer for all moneys received in the course of haulage.
(c) The
sub-committee chaired by the Works Master is responsible for all maintenance of
the Club's premises, and all maintenance policies and procedures relating to the
Club's buildings, all haulage gear and machinery, the slipways, the Club's
mooring(s), dinghy ramps, and dingy lockers.
(d) The
sub-committee chaired by the Clubhouse Captain is responsible for the management
of the Clubhouse including:
(i) in accordance
with Rule 5.5, the development and maintenance of the by-laws governing the use
of the Clubhouse (an up to date copy of which must be displayed in the Clubhouse
at all times);
(ii) the
organisation and management of all social activities of the Club; and
(iii) the
accounting to the Treasurer for all moneys received in the course of running
social activities.
(e) The
sub-committee chaired by the Publicity Officer is responsible for organising all
publicity and communications including the Year Book for the Club.
5.4
General Duties of the Sub-Committees: In addition to the
responsibilities set out in Rule 5.3 above, each sub-committee:
(a) must meet for
the transaction of its ordinary business as required;
(b) must keep a true
record of its proceedings;
(c) must after each
meeting of that sub-committee, time being of the essence, forward a record of
the proceedings of that meeting including any recommendations of the
sub-committee to the Secretary.
(d) must submit
accounts to the General Committee for approval and payment;
(e) may call a
special meeting of the relevant sub-committee at any time provided:
(i) such meeting
is called by any of the Flag Officers or upon a requisition signed by two
members of the relevant sub-committee; and
(ii) the secretary
of the relevant sub-committee gives forty-eight hours written notice of such
meeting to each member of the relevant sub-committee stating the business, day,
and hour for which it is called, except in the case of the Sailing Committee
when the period of notice must be twenty-four hours; and
(f) may, in
accordance with Rule 5.5, make, alter or have rescinded any by-laws relating to
the sub-committees or the ad hoc sub-committees but such by-laws must not be
contrary to or inconsistent with these Rules and any regulations of the Club. A
book containing the by-laws must be kept in a public room of the Clubhouse.
5.5
Sub-Committee Decisions Requiring General Committee
Approval: If any sub-committee makes a decision involving:
(a) the expenditure
of money;
(b) the incurring of
financial liabilities for the Club;
(c) a proposal to
change any existing programme, by-laws or policy of the Club; or
(d) the sending of
any correspondence,
that sub-committee must obtain the approval of the General
Committee before proceeding further on the implementation of the relevant
decision. Such approval may be given by the General Committee either prior to
each occasion it is required or at any other time in advance.

6. MEETINGS
6.1 Annual General Meeting: The Annual General Meeting must be held no later
than 3l July each year and at such meetings the Commodore's report and the
Treasurer's balance sheet and statement of accounts for the past year must be
submitted for adoption and for transacting other business as may be necessary.
6.2
Special General Meeting: A Special General Meeting may be
called at any time by order of the General Committee or on a requisition signed
by at least ten members of the Club, such requisition must state the purpose for
calling the Special General Meeting.
6.3
Notice of Meetings: Fourteen days notice of an Annual or
Special General Meeting must be given to the members by circular or otherwise
stating the object and business of such meeting. Should any member desire to
bring a motion before an Annual or Special General Meeting such motion must be
made in writing to the Secretary six days before the meeting. The Secretary
must, as soon as possible after his or her receipt of the motion, post a copy of
the motion on the Club noticeboard.
6.4
General Committee Meetings: The General Committee must
meet at intervals of not more than one month. A General Committee meeting may be
called by the Secretary or on a requisition to the Secretary signed by any three
members of the General Committee. The Secretary must give not less than four
days notice in writing of each General Committee meeting to all members of the
General Committee stating the business, day, and hour for which it is called.
6.5
Failure to Attend Meetings: Any member of a General
Committee, sub-committee or ad-hoc committee, except an ex-officio member, who
fails to attend three consecutive meetings of the relevant committee will cease
to be a member of that committee unless he or she has first obtained leave of
absence for a definite period.
6.6
Personal Interest: Members of the General Committee or any
sub-committees or ad-hoc sub-committees must not vote on any matter in which he
or she is personally interested.
6.7
Decision of General Committee: The decision of the General
Committee in all disputes and matters referred to it, except decisions arising
out of racing disputes, will be final and without appeal.
6.8
Quorum: Twenty members will form a quorum at all Annual
and Special General Meetings and eight at all General Committee meetings and,
unless where provided by these Rules to the contrary, the decision of a majority
of the votes recorded will be binding.
6.9 Voting: Subject to Rule 8:
(a) each Ordinary
and Junior member who has paid its current subscription fees in full, and each
Life member will have one vote for each matter voted on at each Annual General
or Special General Meeting at which that member is present; and
(b) each Family
membership which has paid its current subscription fees in full will have two
votes for each matter voted on at each Annual General or Special General Meeting
at which the two members of that membership eligible to vote are present.
6.10
Imposition of Fines: The Club may from time to time by
resolution at an Annual or Special General Meeting make provision for the
imposition on any member of reasonable fines and forfeitures and for the
consequences of the non-payment of those fines.

7. CLUB FUNDS
7.1 Funds Devoted to Club Objects: The funds and property of the Club must be
solely devoted to the objects of the Club as specified in Rule 1.2. No pecuniary
gain may be derivable by any member from the operations or property of the Club
except as a salaried officer.
7.2
Winding up of Club: If, on the winding up of the Club,
there remains after the satisfaction of all its debts and liabilities any
property whether real or personal, such property must not be paid or distributed
among the members of the Club but must be given to some other club or aquatic
body having for its objects the carrying on of some form of aquatics. Which club
or aquatic body is to receive the Club's property must be determined by a
majority of the members of the Club at the time of its winding up.

8. MEMBERSHIP
8.1 Classes of Membership: The Club consists of Ordinary, Junior, Family,
Associate, Honorary, and Life members:
(a) an Ordinary
membership consists of one person over 25 years of age. An Ordinary membership
entitles such members to full use of all the Club's facilities. Subject to Rule
6.9, this class of membership has one vote for any matter voted on at an Annual
or Special General Meeting;
(b) a Junior
membership consists of one person under the age of 25 years. A Junior membership
entitles such members to full use of all the Club's facilities. Subject to Rule
6.9, this class of membership has one vote for any matter voted on at an Annual
or Special General Meeting;
(c) a Family
membership consists of one person and his or her partner both over 18 years of
age together with all of their children under 18 years of age, together these
individuals will constitute one Family membership. A Family membership entitles
such members to full use of all the Club's facilities. Subject to Rule 6.9, this
class of membership has two votes for any matter voted on at an Annual or
Special General Meeting, such votes may only be exercised by those Family
members who are over 18 years of age;
(d) an Associate
membership consists of one person and his or her partner both over 18 years of
age together with all of their children under 18 years of age, together these
individuals will constitute one Associate membership. To be eligible as an
Associate membership, those individuals must not:
(i) own a boat
(except a dinghy);
(ii) race other
than as crew; or
(iii) be granted a
dinghy locker or haulage privileges,
the following restrictions apply to this class of membership:
(iv) no voting
rights at any Annual or Special General Meetings and not eligible to hold
office;
(v) no more than
50% of all memberships of the Club may be Associate members at any one time, the
General Committee holds the right to review this percentage; and
(vi) the General
Committee may review an Associate's membership annually, renewal of Associate
membership is not automatic. Any Associate subscription fees paid may be offset
against Ordinary, Family or Junior subscription fees;
(e) an Honorary
membership consists of one person. An Honorary member is exempt from paying Club
subscription fees. The following restrictions apply to this class of membership:
(i) Honorary
members are not permitted to entertain or introduce any visitor into the
clubhouse except with the consent of the General Committee;
(ii) Honorary
members must not race other than as crew and will not be granted a dinghy locker
or haulage privileges; and
(iii) this class
of membership has no voting rights at any Annual or Special General Meeting and
is not eligible to hold office; and
(f) a Life
membership consists of one person and his or her partner, together these
individuals will constitute a Life membership. A Life member is exempt from
paying Club subscription fees for the remainder of their lives and has full use
of all the Club's facilities. Subject to Rule 6.9, this class of membership has
one vote for any matter voted on at an Annual or Special General Meeting.
8.2
Admission of Honorary Members: A member of a yacht club
located at least 100 kilometres from the Club who wishes to visit the Club may,
upon providing evidence of his or her membership of such club, be admitted as an
Honorary member of the Club upon his or her being proposed by a member of the
Club in the following manner:
(a) his or her name,
address, and occupation must be entered in a book provided for that purpose
which is kept in the public rooms of the Club, such entry must be signed by his
or her proposer and his or her admission approved of by two members of the
General Committee who must also sign the book to that effect; and
(b) the Secretary
must then notify him or her of his or her admission to the Club as an Honorary
member.
8.3
Period of Admission of Honorary Members: The period for
which an Honorary member may be admitted will be one month but the General
Committee may at the request of the proposer from time to time extend the period
by one month.
8.4
Re-Admission of Honorary Members: No person once having
been admitted an Honorary member will be eligible for re-admission during the
same season unless under special circumstances approved of by the General
Committee. The proposers of Honorary members are responsible for the conduct of
such members and for any debts incurred by them to the Club.
8.5
Revocation of Honorary Membership: the General Committee
has the power to revoke the admission of an Honorary member without giving
notice or without assigning any cause.
8.6
Election of Life Members: Any member of the Club who has
provided recognised meritorious services to the Club may, if nominated for that
purpose by the General Committee, be elected at any Annual General Meeting a
Life member of the Club. Such nomination and election must be by ballot.
8.7
Election of All Other Members: A candidate for any class
of membership except the Life and Honorary classes of membership must pay his or
her subscription and then be proposed by one member and seconded by another who
must be personally known by the proposer. A record of the nomination must be
kept in a book provided for that purpose. An application for membership must be
in writing and showing the signature of the applicant, proposer, and seconder.
If a candidate is not elected his or her subscription will be returned. All
members except Honorary and Life members must be elected by a resolution of the
General Committee.
8.8
Subscription Fee Reductions and Waivers: Subscription fee
reductions and waivers will apply to any members except Honorary members who
satisfy the following criteria:
(a) Veteran: Any
member, except an Honorary member, who has reached the age of sixty and has been
a member of the Club for twenty continuous years or more may, on giving written
notice to the Secretary and on the payment of any subscription or other monies
owing to the Club, have his or her name placed on the list of veteran members.
Members placed on that list:
(i) are entitled
to a reduction of their subscription fees, as decided by the General Committee;
(ii) are, if
Ordinary, Family, or Life members, entitled to full use of all the Club's
facilities;
(iii) are, if
Associate members, entitled to use of the Club's facilities as set out in Rule
8.1(d); and
(iv) will have the
designate "(Veteran)" noted on the Club's membership roll following
the notation of their class of membership on that roll.
(b) Abroad: Any
member, except an Honorary member, who moves to reside in a country other than
New Zealand may, on giving written notice to the Secretary and on the payment of
any subscription or other monies owing to the Club, have his or her name placed
on the list of members abroad until his or her return. Members placed on this
list:
(i) are entitled
to a waiver of their subscription fees for the period that they are abroad;
(ii) will be
removed from the list of members abroad on their payment of subscription fees
for the current year provided he or she does so within three months of his or
her return; and
(iii) will have
the designate "(Abroad)" noted on the Club's membership roll following
the notation of their class of membership on that roll.
(c) Country: Any
member, except an Honorary member, who resides or moves to reside at least 100
kilometres from the Clubhouse but still within New Zealand may, on giving
written notice to the Secretary and on the payment of any subscription or other
monies owing to the Club, have his or her name placed on the list of members
residing outside of the Auckland area until his or her return. Members placed on
this list:
(i) are entitled
to a reduction of their subscription fees, as decided by the General Committee,
for the period that they are away from the Auckland area;
(ii) will have the
designate "(Country)" noted on the Club's membership roll following
the notation of their class of membership on that roll.
(iii) until
re-admitted to full membership, he or she will have no voting rights at any
Annual or Special General Meeting, will not be entitled to race other than as
crew, and will not be granted a dinghy locker or haulage privileges.
(iv) will on his
or her return to the Auckland area and on written application to the Secretary,
be removed from the list of members residing outside of the Auckland area and be
re-admitted as a full member of the Club on payment of the appropriate
subscription fees for the current year;
(v) if he or she
does not so apply for full membership within three months of his or her return
to the Auckland area, his or her membership of the Club will automatically
lapse.
8.9
Changing Membership Status: The status of existing Club
members may only be altered with the consent of the General Committee.
8.10
Members Must Abide by Club Rules: All members must act in
accordance with the Rules, Regulations, and By-Laws of the Club.
8.11
Non-payment of Subscription Fees: Any member who has been
struck off the membership roll for non-payment of subscription fees or dues will
not be eligible for re-election until such subscription fees or dues have been
paid in full.
8.12
Resignation: Any member wishing to resign from the Club
must give notice in writing to the Secretary to that effect and pay all arrears
of subscription fees and any other monies owing to the Club up to the date of
such notice.
8.13
Member Misconduct: If it comes to the attention of the
General Committee that the conduct of any member either in or out of the
Clubhouse is injurious to the character and interests of the Club, the General
Committee must act in accordance with the following process:
(a) a Special
Meeting of the General Committee must be called to investigate further into the
matter;
(b) should the
General Committee deem further action necessary, it must request the member
whose conduct is in question to attend a further meeting of the General
Committee;
(c) such member, if
he or she attends, must be properly informed of all the details of the charges
relating to his or her conduct and must be given a reasonable opportunity to
explain or defend his or her conduct and to produce evidence in support;
(d) if, after
hearing the member's defence or explanation of his or her conduct and
considering the evidence produced in support, the General Committee thinks the
circumstances require the expulsion of the member, it may expel that member.
However, no member may be expelled from the Club unless a majority of two out of
every three Officers voting at the Special Committee meeting voted to expel the
member.

9. SUBSCRIPTIONS
9.1 Fixing of Subscription Fees: Members of the Club voting at the Annual
General Meeting may from time to time fix the annual subscription fees for all
classes of membership.
9.2
Subscription Due on Election: The subscription fees are
due on application for election to membership, election to membership will not
be considered unless the appropriate subscription fees have been paid in full.
9.3
Financial Year of the Club: The financial year of the Club
commences on l June each year when all members' subscription fees for the year
are due and must be paid to the Treasurer.
9.4
Subscription Fees in Arrears: Any member who is in arrears
with his or her subscription fees must have his or her attention drawn this
fact, if the member does not then pay his or her subscription fees in full the
General Committee may at its discretion remove that member from the membership
roll on l October in any year and the member in question will immediately cease
to be a member of the Club. The General Committee has power to re-instate any
such member upon his or her payment of the appropriate subscription fees.
9.5
Use of Club Privileges Whilst Subscription Fees in
Arrears: Any member whose subscription fees are in arrears on 1 October of any
year is not entitled to the use of the Club's privileges or property nor is he
or she entitled to vote at any Annual or Special General Meeting or hold any
office of the Club nor compete for any prizes offered by it or steer any boat in
any Club race until his or her subscription fees are paid in full.
9.6
Insufficient Funds: If, at any time, the General Committee
finds that it does not have sufficient funds at its disposal to carry on the
affairs of the Club, it must call a Special General Meeting and place the
financial position and its suggestions for correcting the situation before the
meeting. A majority of two out of three members present and voting at such
meeting may make a levy, notice of which must immediately be posted to every
member. Any members failing to pay any such levy after the expiration of two
calendar months from the date of receipt of the relevant notice will at the
discretion of the General Committee have his or her name removed from the
membership roll and the member in question will immediately cease to be a member
of the Club. The General Committee has the power to re-instate any such member
upon his or her payment of the levy together with the member's provision of
sufficient explanation.

10. ALTERATION OF RULES
10.1 Alteration of Rules: No addition to, alteration, amendment or revision of
these Rules may be made except at either an Annual or Special General Meeting
and by a majority of three out of four of the members present and voting at that
meeting. Notice of any proposed addition to, alteration, amendment or revision
of these Rules must be given to the members in the circular convening that
meeting.
10.2
Restriction on Repeat Alteration of Rules: No motion
affecting the rules, regulations, measurements or classifications of the Club
which has been duly considered may be brought forward again during the same
financial year unless by written consent of a majority of two out of three
present and voting members of the Club.

11. BOATS
11.1 Boat Particulars: Each member must state in writing to the Secretary:
(a) the name, rig,
measurements, and number of every boat for which it desires the privileges of
the Club; and
(b) the name,
dimensions of engine and such other particulars as the Committee may from season
to season decide upon.
The above particulars must be entered in the Club Register by
the Secretary with a copy provided to the Sailing Master and the Haulage Master.
No boat is entitled to any privileges of the Club until such entry has been
made.
11.2
Members' Sale of Boats: Each member of the Club must
notify the Secretary in writing of the sale of his or her boat(s) to
non-members, such members are liable to the Club for all charges and penalties
owing to the Club in relation to the relevant boat(s).

12. RACING REGULATIONS
All sailing events must be sailed under the International Sailing Federation
Limited Racing Rules (with Yachting New Zealand Incorporated prescriptions) for
the time being in force, subject to any modifications, additions, variations or
alterations as the General Committee may from time to time, either generally or
for any particular race or races enact or adopt.

13. HAULAGE
All haulage at the Club must be carried out in accordance with the Club's
Haulage Manual. The master copy of the Haulage Manual will be kept at the
Clubhouse in a location determined by the General Committee. The Haulage Master
will make available to all members who use the haulage facilities a copy of the
Haulage Manual when applying for haulage.

14. GENERAL
The decision of the General Committee on the interpretation or construction of
any Rule, By-Law or Regulation is final. These Rules will come into force on the
lst day of January 2004, and will revoke and supersede all Rules previously made
by the Club.
